Flower One Reports Third Quarter 2020 Results - Business Wire

TORONTO--()--Flower One Holdings Inc. (the “Company”) (CSE: FONE) (OTCQX: FLOOF) (FSE: F11), a leading cannabis cultivator, producer and innovator in Nevada, today reported its financial and operating results for the third quarter ended September 30, 2020. All amounts are expressed in U.S. dollars unless indicated otherwise.

Third Quarter Highlights

  • The Company reported Q3 2020 revenue of $11.9 million, its strongest quarter to date and up significantly from both Q2 2020 revenue of $3.9 million and Q3 2019 revenue of $2.5 million;
  • Q3 2020 revenue was ahead of the Company’s guidance range of $9.8M-10.8M;
  • The Company recorded a Q3 2020 gross margin of 25%, compared to 46% in Q2 2020, with the decline resulting from the Company reducing production during Q2 2020, due to the COVID-19 pandemic, while incurring the same level of overhead - and also as a result of discounted sales of aging product from its facilities’ early harvests;
  • The Company recently launched the Cookies brand and its portfolio of premium flower strains, pre-rolls, concentrates and vapes, and continues to sell out all available packaged inventory;
  • The Company continued to increase the crop allotment of premium flower brands like Cookies, which we expect to result in stronger margins and increased top line revenue. These adjustments are also expected to increase total revenue per plant among other efficiency metrics;
  • Performance of many of the Company’s Brand Partners remained strong during the quarter according to BDS Analytics, a leading provider of cannabis industry market intelligence and insights:

    • Old Pal, which remains the #1 flower brand based on total units sold and remains ranked #2 of the top 10 flower brands in Nevada.
  • In mid-September, Kiva launched Blackberry Blitz, a brand-new Camino flavor inspired by the Las Vegas Raiders.

Third Quarter 2020 Financial Results

Revenues

For the three-month and nine-month period ended September 30, 2020, the Company earned revenue of $11.9 million and $24.6 million, respectively, up significantly from Q2 2020 revenue of $3.9 million and the respective periods in 2019: $2.5 million for the three-month period and $3.7 million for the nine month period. The increase was a result of the Company’s increased sales volumes generated from the Company’s flagship 455,000 square foot cultivation and manufacturing facility (the “NLV Greenhouse”). Cannabis flower sales out of the NLV Greenhouse commenced in August 2019 and cannabis-derivative products out of the NLV Greenhouse extraction facility commenced in late September 2019.

Expenses

Cost of sales was $8.9 million for Q3 2020, as compared to $6.3 million in the prior quarter. The increase in cost of revenues was in line with the increased revenue volumes. Cost per harvested gram from the NLV Greenhouse was $0.69 in Q3 2020, a decrease from $1.04 in Q2 2020. The increased cost of sales, as a percentage of sales in Q3 2020 vs Q2 2020, was due to the greater output in Q3 2020 vs Q2 2020 absorbing non-variable production costs over increased output. During the Q2 2020 shutdowns, overhead remained relatively the same as in Q1, thus resulting in higher inventory costs per gram produced. Most of the inventory harvested and produced in Q2 2020 remained in inventory as of June 30, 2020, which had a negative impact on margins when the product was sold in Q3 2020. This was partially offset by revenues from higher-margin branded products.

General and administrative expenses for the quarter totaled $5.6 million, a decrease of $0.1 million over Q2 2020, as a result of lower accounting and legal costs, insurance, consulting and other costs during the quarter offsetting higher cannabis taxes related to higher sales. The Company continues to identify ways to manage expenses and reduce overhead costs.

Profitability Measures

Gross profit in Q3 2020 amounted to $3.0 million or 25% of revenue, compared to $1.8 million, or 46% of revenue, for Q2 2020.

The net loss for the quarter of $17.2 million was driven in part by a one-time non-cash write-down of provision of inventory totaling $17 million. The inventory write-down was due the Company’s assessment that certain inventory on hand, from 2019 harvests, would not be profitability sold as flower or distillate. This write-down offset $8.9 million of non-cash adjustments upward to the value of the Company’s biological assets.

In addition to the one-time, non-cash impairment charge, expenses for the quarter included: finance expenses of $6.2 million, a gain on the fair value of derivatives of $4.8 million and $0.4 million in foreign exchange losses.

Cash Flow

Cash flow used by operations for the nine-months ending September 30, 2020 was $23.2 million. Cash provided from financing activities was $22.8 million which was comprised of debt raises of $11.9 million and equity raises of $19.5 million, which were partially offset by repayments of debt totalling $8.6 million. Cash used in investing activities equaled $1.7 million and represented purchases of property, plant and equipment. As of September 30, 2020, the Company had negative working capital of $28.3 million.

The Company historically has funded its operations from debt and equity raises. The Company currently is actively seeking capital. However, there can be no assurance that Company will be successful in raising enough capital to meet its short or long-term obligations until such time that it reaches positive cash flow net of debt and operational obligations.

Highlights Subsequent to Quarter-End

  • The re-opening of dispensaries in early May to in-person revenues continues to have a positive impact on sales and inventory levels at cannabis retailers, despite only partial resurgence of tourism to Las Vegas;
  • Beginning in Q3 2020 and continuing through Q4 to-date, the Company has dedicated more of its greenhouse footprint to premium brands;
  • During Q3 2020, the cultivation team began replanting the NLV Greenhouse (following the Q2 2020 operational reduction due to the COVID-19 pandemic) and as of Q3 2020 the NLV Greenhouse is fully planted and on a regular harvest cycle, and
  • During Q4, the Company also announced the achievement of certain operational milestones including:
    • the implementation of Brand Partner Lift Ticket's proprietary pre-roll technology and processes, and
    • the signing of Nature's Lab, an award-winning concentrate producer, as both a brand partner and consultant to further increase and accelerate both quality and capabilities of Flower One's production lab.

Update of Term Debt Loan and Subversive Transaction

Subsequent to the quarter end, the Company entered into an agreement with Subversive Real Estate LP (“Subversive”) for a new $39 million term loan (the “Subversive Loan”), which included an option to enter a sale-leaseback purchase agreement for the Company’s greenhouse facility (together with the Subversive Loan, the “Subversive Transaction”). One of Subversive’s conditions under the Subversive Loan was that Subversive complete a qualifying transaction, a transaction unrelated to the Company. Subversive initially advised the Company that it expected to close the qualifying transaction in early November 2020 and shortly thereafter close the Subversive Loan. In October 2020, subsequent to the Company’s announcement of the Subversive Loan, RB Loan Portfolio II, LLC (“RB II”), the Company’s existing term debt lender advised that it considered certain liens filed by third parties against certain assets of the Company to be a breach of the existing $30 million term debt (the “Term Debt”). As a result of cross default provision between the Term Debt and the Company’s existing $17.5 million equipment financing (the “Equipment Financing”), RB Loan Portfolio I, LP (“RB I”), the Equipment Financing lender, considered the Company to be in breach of the Equipment Financing. In October 2020, the Company entered into a payout agreement with RB II and a forbearance agreement with RB I, under which RB II and RB I agreed, among other things, to forebear their rights until November 18, 2020 (a date after which the Company expected the Subversive Loan to close). The Company intended to use part of the Subversive Loan proceeds to repay the Term Debt and remove the outstanding liens. The Company also agreed to pay RB II a fee equal to incremental interest of 3% on the balance of the Term Debt 2020 and to pay RB I incremental interest of 6% on the balance of the Equipment Financing.

On November 26, 2020, Subversive announced that it has determined not to proceed with its previously announced qualifying transaction and therefore the company believes it is unlikely to close the Subversive loan. Nonetheless, the Company continues to work with Subversive to explore options to close the Subversive Transaction. The Company is currently negotiating with RB II to extend and amend the terms of the Term Debt and with RB I to extend and amend the terms of the Equipment Financing. There can be no assurance that the Company will be successful in negotiating successful amendments to the Term Debt and the Equipment Financing.

Art Center Morro Bay will present the exhibition “Flower Power.” This exhibition will embrace the diversity of florals through two-dimensional interpretations – from scientific illustration to abstract to photorealism to large free-style creations in oil, acrylic, watercolor, pastel, photography, digital media, and mixed media – and through three-dimensional artwork, including ceramic, glass, wood, and living floral arrangements.

“Flower Power” is a slogan emblematic of the counter-culture of the 1960s. During the Summer of Love (1967), flowers became powerful symbols of peace, a concept plucked from Buddhist art.

More than merely decorative, floral imagery has helped convey ideas from the refined to the revolutionary for thousands of years. Flowers in contemporary art are connected to particular cultural legacies but are also “open to new interpretations, moored to the past yet provoking questions about our future,” according to Art Center Morro Bay.

Flowers offer decorative appeal; symbolic and healing values; as well as ways of thinking about a wide range of topics — the natural environment in which we live; the communities we build; and the commodities we buy.

Artists are invited to submit up to three 2D (wall-hung) artworks in all media.

In addition, artists are encouraged to submit to both featured 3D themes:

Nike’s Space Hippie 04 proves that trash can be a treasure, as the brand states that over a quarter of the innovative silhouette’s weight is made from recycled material. Keeping the environment in mind, a new Cactus Flower colorway is on its way, dressed in varying violet hues.

The woven grayish-purple uppers are made of “Space Waste Yarn”—Nike’s material of plastics and cloth scraps. For a futuristic look as suggested by the silhouette’s space theme, the lacing is done via eyestays that are woven into the uppers. FREEPORT, Long Island (WABC) -- A Freeport flower shop destroyed by a fire in early November now has a temporary home thanks to the owner of a local restaurant.

Ilona Jagnow, the owner of Otto's Sea Grill in Freeport, offered her restaurant space to Duryea's flower shop.


"If we could do something and help them, this was the time to do it," Jagnow said.

Jagnow usually closes the restaurant in January for the winter, but decided to close in November this year due to the ever-changing COVID regulations for restaurants.

Those with Duryea's set up inside the restaurant last Saturday.

"We are so grateful and thankful for our Freeport community," said Danielle Clukies with Duryea's.

On Friday, November 13, a fire destroyed Duryea's space in a building on Guy Lombardo Avenue. The shop had been there since the mid-1980s.

A short time later, Jagnow reached out to those with Duryea's.

Jagnow said her family went through several fires at the restaurant.

"I know that feeling when you hear there's a fire in your business," she said.

Those with Duryea's have turned the kitchen at Otto's into a florist workplace. Ribbons are now in the place of dishes, vases line the counters and refrigerators are filled with flowers.

"We're up and running full service," said Danielle Clukies.


Jagnow is not charging Duryea's rent. They are only pitching in for the electric bill to cover the cost of powering the refrigerators.

"It's sort of like you have the worst luck in the world and all of the sudden you have the best luck in the world," said Brian Clukies, Danielle Clukies's husband.

Brian Clukies said when they opened on Saturday at Otto's, people came by simply wanting to drop off money.

"We've never felt more loved in our lives," he said.

Jagnow plans to reopen the restaurant in March by which time those with Duryea's hope to be back in their old space or in a new location.

(collectively, “FFHC”, “Fire & Flower” or the “Company”), a leading Canadian recreational cannabis retailer, is pleased to announce that it has entered into a definitive agreement to acquire all of the issued and outstanding shares of Quad Nine Investments Inc., which owns and operates a licensed cannabis retail store at 717 College Street, Toronto, Ontario currently operating as “Blaze Cannabis”, the (“Acquisition”).

Completion of the acquisition will add Fire & Flower’s eighth fully owned, open and operating location in the province of Ontario. The Company continues to focus on the opening of additional cannabis retail stores in the province that have already completed construction.

This proposed acquisition will represent Fire & Flower’s continued strategy to further grow our omni-channel, technology-enabled retail network in the province of Ontario and across the country, both through acquisition plus organic growth.

The acquisition includes a current Retail Operator License and Retail Store Authorization from the Alcohol and Gaming Commission of Ontario (the “AGCO”), which has issued a no-objection letter in respect of the Acquisition.

The total purchase price in connection with the Acquisition is $900,000 plus the net working capital of the business (including inventory) at the date of closing in cash plus 124,069 common shares of FFHC.

The Acquisition is subject to customary closing conditions, including the receipt of a no-objection letter from the AGCO and approval from the Toronto Stock Exchange, each of which has already been received.

Two weeks after a fire gutted a beloved Long Island flower shop, the business has managed to reopen -- turning a nearby restaurant's dining room into its gallery and the kitchen into a design studio.

The Nov. 13 blaze in Freeport injured multiple firefighters and destroyed Duryea's, a local fixture on Guy Lombardo Avenue since the 1930s.

An explosion rocked a neighborhood on Long Island shortly after midnight, leaving at least one person injured and causing a fire that spread to nearby buildings. NBC New York's Katherine Creag reports.

But the business was out of commission for just two weeks before finding a creative new home -- Otto's Sea Grill, a nearby restaurant that is closed for the winter season and had the space to spare.

The Ottawa Avenue Cemetery Association recently changed its rules and regulations.

The regulations state: "No artificial flowers or other adornments are allowed on grave spaces from April 1 until Oct. 30. Between Nov. 1 and March 15, when the grass is not being cut, artificial wreaths of less than 30 inches placed on stands are permitted. Evergreen blankets or grave coverings are not permitted at any time. All providers of ornamentation are required to remove such from vemetery property by March 15."

The Ottawa Avenue Cemetery Association has had to implement such strict regulations, because it said individuals abused the privilege by not picking up their winter arrangements. The Ottawa Avenue Cemetery Association is a group of volunteer members with limited funding. Inquiries can be made through the Ottawa Avenue Cemetery website.

Album Review: Emily A. Sprague – Hill, Flower, Fog
Ambient LA artist conveys a much-needed meditative experience 

Electronic artists are frequently faced with wrath from disbelievers of their genre, as they argue a common fallacy: that in order for music to be “respected” or considered “real,” natural instruments must be involved in the process. The derivation of this argument is understandable, with one being nostalgic to the traditional ways of music. However, in today’s age, with music technologies constantly advancing, it would be a shame not to take advantage of it. Singer-songwriter Emily A. Sprague is the perfect example of an artist who does so. Raised in the Catskill Mountains, she has an appreciation for natural sounds in her music and is perfectly capable of playing several instruments, yet still prefers to use the modular synth to revolutionize her sound. Her latest project Hill, Flower, Fog reflects her various skills with the synthesizer as she reveals to people six incredibly soothing, extended tracks of modular meditation. 

When Sprague isn’t creating with Florist, her indie-folk trio, she is experimenting with a newfound level of intimacy, making music solo. In an interview with The Creative Independent, she explains that her love for the modular synth evolved from its lack of structure combined with the ability to create a solo orchestra. When creating solo work, she is able to step away from the structure of her band to further explore her creative philosophies in music, describing it as “existing without any sort of structural guidelines.”

Since 2017, Sprague has released four solo projects (two being EPs), including her latest release Hill, Flower, Fog on Bandcamp. The record, however, expanded to digital and is now available for vinyl release through RVNG Intl. Along with that, a portion of the album proceeds will go to the Lion’s Tooth Project–a charity initiative focusing on the wellness of LGBTQIA+, immigrant and minority communities, promoting personal well-being through art and earth-based practices. 

Hill, Flower, Fog is especially distinct and monumental as it was completed in a one-week span, inspired primarily by the start of the pandemic. As Sprague is known for evoking emotion through her sound, the isolation provided her with an entirely new concept to explore. When speaking about the album, she explains, “I want to share these explorations because in my own experience of fear and strangeness, making distant, encouraging and astral sounds brought me some light through the leaves. It is meant as a soundtrack to these new days, practices, distances, losses, ends and beginnings. I hope it helps calm find a way.”

This album epitomizes calmness, so much so that when listening to Sprague’s highly meditative tracks, people may just find themselves in an entirely new state of mind. The opening track “Moon View” sets this tone of tranquility, as it highlights a light melodic mix of soothing, windchime-like and drawn-out flutey instrumentals, making it the perfect track for the start to a morning.

The following track “Horizon” is a great fit for the next listen, as it provides a more uplifting experience, highlighting the simplicity of using major and minor keys with a xylophone-sounding melody. With each track remaining idiosyncratic from the others, “Mirror,” “Woven” and “Rain” continue to reflect the meditative experience as we get hypnotized by the overlapping sounds of symbols, bells and chimes. The closing song “Star Gazing” is probably the most electro-sounding, with its spurts of buzzes and beeps, but it still remains highly naturalistic as people listen to the synthetic, subdued sounds of nature. 

Overall, Hill, Flower, Fog represents a beautiful work of art and provides beneficial wellness to listeners as it brings forward a restorative state of mind through the practice of music meditation. As Sprague explains, “Hill, Flower, Fog is a place and a poem.” The album represents themes of family, sustainability, patience and growth and is a message Sprague brought to the community in hopes of shining a bright light.
